These Terms apply alongside our Privacy Policy (which includes our cookies and tracking information), which is incorporated by reference.

TharaTech LLC ("TharaTech", "we", "our", or "us") is a human-centered technology company incorporated in Ras Al Khaimah, United Arab Emirates (RAKEZ). We create software products including MoneyDiary and ReefDiary and operate this website.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice where required by law.

By using our Services, you represent and warrant that you:

• Are at least 16 years of age (or the applicable age of digital consent in your jurisdiction, whichever is higher).
• Have the legal capacity to enter into a binding contract with us.
• Are not located in a country subject to a UAE government embargo or designated as a state sponsor of terrorism.
• Are not prohibited from using our Services under applicable law.

This website does not currently require account registration. Where our products require you to create an account, the following applies:

• You must provide accurate, current, and complete information during registration.

• Transmit unsolicited, deceptive, or harmful communications.

• Scrape, crawl, or harvest data from our website without prior written consent.
• Impersonate TharaTech, our team, or any other person or entity.

All content on this website including but not limited to text, graphics, logos, icons, images, audio clips, and software is the property of TharaTech LLC or its content suppliers and is protected by UAE intellectual property law and applicable international laws.

• TharaTech trademarks: The TharaTech name, logo, and product names are trademarks of TharaTech LLC. You may not use them without our prior written consent.
• Personal use: You may view, download, and print material from our website for personal, non-commercial use only.
• No reproduction: You may not reproduce, distribute, modify, or create derivative works from our content without express written permission.
• Feedback: If you submit feedback or ideas, you grant us a perpetual, royalty-free, worldwide licence to use that feedback without restriction or compensation.

Our website may contain links to third-party websites or services that are not owned or controlled by TharaTech. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites.

• We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

To the fullest extent permitted by applicable law, TharaTech LLC and its directors, employees, agents, and licensors shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.

• Any damages arising from your use of, or inability to use, our Services.
• Any unauthorised access to or alteration of your data.

Where liability cannot be excluded by law, our total aggregate liability to you shall not exceed the greater of: (a) AED 500 (UAE Dirhams five hundred); or (b) the amount you paid to us in the three months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless TharaTech LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of our Services.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property rights.
• Any content you submit or transmit through our Services.

This indemnification obligation does not apply to EU consumers to the extent it conflicts with mandatory EU consumer protection law.

We may terminate or suspend your access to our Services immediately, without prior notice or liability, if you breach these Terms or for any other reason at our sole discretion. Upon termination:

• Your right to use our Services ceases immediately.
• Sections of these Terms that by their nature should survive termination will survive, including intellectual property, limitation of liability, and governing law provisions.

You may stop using our Services at any time. If you have an account with a TharaTech product, refer to that product's terms for account closure procedures.

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Ras Al Khaimah, without regard to conflict of law principles.

• UAE users: Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ras Al Khaimah, UAE.
• Alternative dispute resolution: We encourage you to contact us first to resolve any dispute informally. We commit to responding within 10 business days.
• International arbitration: For commercial disputes exceeding AED 200,000, either party may elect to resolve the dispute by binding arbitration under the RAK ICC (Ras Al Khaimah International Chamber of Commerce) rules.

If you are a consumer resident in the European Economic Area (EEA), United Kingdom, or Switzerland, you benefit from mandatory protections under EU/UK consumer law that cannot be overridden by contract. These include:

• Right of withdrawal (cooling-off): Under the EU Consumer Rights Directive, you have the right to withdraw from a distance contract for digital services within 14 days without giving any reason, subject to statutory exceptions (e.g., where performance has begun with your consent).
• Unfair terms: Any term in this agreement that is found to be unfair under the EU Unfair Contract Terms Directive will not be binding on you.
• Online dispute resolution: EU consumers may submit complaints via the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
• UK consumers: Your rights under the UK Consumer Rights Act 2015 are unaffected by these Terms.
• Choice of law: Regardless of the UAE governing law clause above, you retain the protection of mandatory consumer law provisions in your country of habitual residence.

We reserve the right to update these Terms at any time. When we make material changes, we will update the Effective Date at the top of this page.

For EU/UK consumers, where changes are materially detrimental to your rights, we will provide at least 30 days' notice before the changes take effect. Your continued use of our Services after changes are posted constitutes acceptance of the revised Terms.

We recommend bookmarking and reviewing this page periodically. If you do not agree with changes, you should stop using our Services before they take effect.
